Welcome to SKM Softology Innovation LLP. By accessing our website, engaging our consulting services, or contracting us for digital, web, mobile, or enterprise software development, you agree to be bound by the following Terms and Conditions. Please review them carefully.

1. Scope of Services & Engagements
  • Project Proposals & SOWs: All custom software development, cloud infrastructure management, ERP/CRM setup, and digital marketing services are governed by individual Statements of Work (SOW), project proposals, or service agreements signed by both parties.
  • Modifications & Scope Creep: Any changes, feature additions, or modifications requested outside the agreed project scope will require a formal change request and may impact delivery timelines and project costs.
2. Intellectual Property Rights
  • Client Deliverables: Upon full and final settlement of all agreed invoices, all custom software code, designs, and digital assets produced specifically for the client will become the exclusive property of the client.
  • Pre-Existing IP & Frameworks: SKM Softology Innovation retains ownership of all pre-existing proprietary code, standard utility libraries, generic developer tools, and internal methodologies utilized during project execution.
  • Portfolio Showcase: Unless bound by an explicit Non-Disclosure Agreement (NDA), SKM Softology Innovation reserves the right to display project case studies, summaries, and links in its professional portfolio.
3. Confidentiality & Non-Disclosure
  • Both parties agree to maintain strict confidentiality regarding all proprietary business data, trade secrets, software code, customer data, and technical architecture shared during consultations and active projects.
  • If a separate mutual NDA is executed, its specific terms will supersede standard confidentiality clauses herein.
4. Payment Terms & Invoicing
  • Milestone Payments: Project payments must be released according to the milestone schedule outlined in the contract (e.g., initial deposit, UI/UX approval, beta deployment, final delivery).
  • Late Payments: Delays in scheduled milestone approvals or invoice payments may lead to an immediate pause in development sprints or deployment activities.
  • Taxes: Invoices are exclusive of applicable local, state, or international taxes, which will be billed in accordance with prevailing laws.
5. Client Obligations & Approvals
  • Timely Feedback: The client agrees to provide necessary brand assets, API credentials, domain access, and feedback within reasonable turnaround times (typically 3–5 business days) to prevent project bottlenecks.
  • Testing & Sign-off: Upon milestone delivery or final deployment, the client has an agreed review window (standard 7–14 days) to report bugs or functional discrepancies before final acceptance is recorded.
6. Warranties, Support & Maintenance
  • Bug-Fix Warranty: SKM Softology Innovation provides a standard post-launch bug-fix warranty (typically 30 days) to address discrepancies against agreed functional specifications.
  • Exclusions: The warranty does not cover issues resulting from third-party API changes, unauthorized third-party code alterations, unmanaged server downtime, or client-side mishandling.
  • Ongoing Support: Continuous maintenance, 24/7 server monitoring, and feature upgrades require an active Service Level Agreement (SLA) or maintenance contract.
7. Limitation of Liability
  • In no event shall SKM Softology Innovation, its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption.
  • Our maximum aggregate liability arising from any project contract shall not exceed the total fees paid by the client under the specific Statement of Work in question.
8. Termination of Services
  • Either party may terminate an active agreement by providing written notice if the other party breaches any material term and fails to cure such breach within 14 calendar days.
  • In the event of early termination, the client is liable to pay for all work completed, hours logged, and non-refundable resources committed up to the termination date.
9. Governing Law & Dispute Resolution
  • These Terms and Conditions shall be governed by and construed in accordance with the applicable laws of the registered jurisdiction of SKM Softology Innovation.
  • Any disputes arising from these terms shall first be addressed through good-faith mutual negotiations before proceeding to binding arbitration or local courts.
